Terms of Service

Suwebatu Limited, a company registered in Nigeria, is the operator and contracting party for the Service ("Suwebatu", "we", "us").

1. Acceptance

By creating an account or using the Suwebatu Billing & Collections Platform ("the Service"), you agree to these Terms on behalf of yourself and the organisation you represent. If you do not agree, do not use the Service.

2. The Service

The Service is a billing and invoicing platform: creating, approving, sending, and collecting payment on invoices, and related records (clients, products, receipts, reports). It records and tracks payments your clients make to your own bank accounts; we are not a payment processor for those invoices and never hold your clients' funds. Features vary by subscription plan.

3. Accounts

You must provide accurate information and keep your login credentials confidential. You are responsible for activity under your account. Multi-factor authentication, where enabled, must not be disabled without understanding the security trade-off.

4. Subscriptions, trials, and billing

New organisations receive a free trial period stated at sign-up. After the trial, continued use requires an active paid subscription, billed in advance for the interval shown at checkout, via our payment processor (Paymish). If the trial ends or payment is not received, access to the application is suspended: you can still sign in, view your subscription, pay, and export your organisation's data, but the invoicing features are unavailable until the subscription is active again. Your data is not deleted on suspension (see Privacy Policy for retention). Prices may change with notice before your next billing cycle. Fees already paid are non-refundable except where required by law.

5. Your data and content

You own the invoices, client records, and other content you create. You grant us the right to process it solely to provide the Service (see our Privacy Policy). You are responsible for the accuracy of tax, legal, and financial details you enter.

6. Acceptable use

No unlawful, fraudulent, or abusive use; no attempting to breach another organisation's data; no reverse engineering or reselling the Service without written agreement.

7. Termination

You may cancel at any time; access continues until the end of the paid period. We may suspend or terminate accounts for breach of these Terms, non-payment, or unlawful use. On termination, data is retained for a reasonable period for export before deletion, per our Privacy Policy.

8. Disclaimers and liability

The Service is provided "as is". We are not a substitute for professional tax, legal, or accounting advice - review generated invoices and tax figures before relying on them. To the extent permitted by law, our liability is limited to the fees you paid in the preceding 12 months. Nothing in these Terms limits liability for fraud, wilful misconduct, or anything else the law does not allow us to limit.

9. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute not resolved informally is subject to the exclusive jurisdiction of the Nigerian courts.

10. Changes

We may update these Terms; material changes will be notified by email or in-app before they take effect.
